The donor wishes to grant a licence to the taker and the licensee wishes to acquire a licence for the PlanGrid service only for the purpose of the internal evaluation of the taker during the period set by the Guarantee Fund and, furthermore, subject to the terms of this agreement, both agreements have advantages and disadvantages. The short evaluation agreement saves a lot of time and money (mainly from a legal point of view), as it covers fewer aspects and therefore requires less negotiation time. This is important if (1) one or both parties pay a high legal fee, (2) each page is pressed to get started, or (3) the potential client (the company that wants to try your software) doesn`t have much “patience” to negotiate back and forth with you and risk (the startup) losing the deal. The downside of a short evaluation agreement is that if successful, you must now start negotiating the software sales contract – which takes time and money anyway. The advantage of the long evaluation is that you save time and money to renegotiate the sales contract after completing the evaluation. The downside is that due to the extension of negotiations, it can often create tensions and you may need to change the agreement after evaluation (more time and money), because you do not yet know all the facts and figures at the time of signing the agreement (before the evaluation) (for example, you may not know how effective or unsuccessful your product is, especially if you are a start-up). 7. CONFIDENTIAL INFORMATION. Infoblox and the client agree to keep confidential all information that is treated confidentially by a party under this agreement, which is classified as proprietary and/or confidential or because of the circumstances of the disclosure (the “confidential information”). Despite this, the client accepts that Infoblox may collect confidential customer information, remove personal information from the customer`s confidential information by anonymization and aggregate this confidential information for Infoblox purposes. The Customer acknowledges and accepts that the products and all information made available to the Customer in accordance with this Agreement are confidential information of Infoblox, without the need to identify it. Each party agrees: (a) to strictly respect and protect the confidentiality of the other party`s confidential information; and (b) not to use the other party`s confidential information, unless it is intended.

Notwithstanding the above, the customer is solely responsible for the removal of all data stored on the product (s) that the customer may consider confidential; Infoblox has no obligation or responsibility for the data remaining on products returned to Infoblox. As part of the customer`s use of the products, the customer can transmit recording information, searches or download data or other content (together “Contents”).
